Karlie thrives on the challenging and dynamic nature of securities law. She is passionate about building long-standing relationships with her clients and goes to great lengths to understand the unique aspects of each business.  

Karlie is a member of the firm’s Capital Markets Group. She provides advice on corporate finance transactions, mergers and acquisitions, private placement financings, public offerings, continuous disclosure requirements and general corporate and commercial matters.

Karlie summered and articled at Aird & Berlis before returning to the firm as an associate.

Representative Matters

Represented Maritime Resources Corp., a Canadian gold exploration and development company, in its non-brokered private placement of common shares and common share purchase warrants to Firefly Metals Ltd.

Represented Cybin Inc. (CBOE: CYBN) (NYSE American: CYBN), a life sciences company focused on psychedelic pharmaceutical therapies, in the completion of a US$150-million private placement of common shares.

Represented a North American multimedia company in the sale of the assets underlying its Ontario-based print signage division.

Represented Abraxas Power Corp., a global renewable energy developer, in the completion of its private placement of common shares.

Represented Linamar Corporation in its acquisition of Bourgault Industries Ltd., a leading agricultural equipment manufacturer, for $640 million. In conjunction with the Bourgault transaction closing, Linamar also finalized a new $700-million term loan agreement.

Represented Cybin Inc. (NEO:CYBN) (NYSE American: CYBN), a life sciences company focused on psychedelic pharmaceutical therapies, in the completion of its US$30 million underwritten public offering of units.

Represented Linamar Corporation (TSX: LNR) in connection with its acquisition of a substantial portion of Mobex Fourth and 1, LLC’s U.S.-based assets.

Legal counsel to MediPharm Labs Corp. (TSX:LABS) in its acquisition of VIVO Cannabis Inc. 

Represented Maritime Resources Corp. (TSXV: MAE) in connection with the completion of a non-brokered private placement of common shares for gross proceeds of $3.7 million.
