Kyle is a practical, results-oriented lawyer with more than 25 years of commercial real estate experience. He has worked on many landmark transactions throughout his career and is highly regarded for his strong technical expertise and business acumen.

Kyle is a member of the firm’s Real Estate Group. He has extensive experience advising clients on the purchase, sale, financing and leasing of commercial, industrial and mixed-use properties. He is also skilled at structuring real estate investment vehicles, such as co-tenancies and limited partnerships. Kyle represents a range of clients, including lenders, borrowers, owners, developers and multinational organizations.

Representative Matters

Represented Allied Properties Real Estate Investment Trust, a leading owner-operator of distinctive urban workspace in Canada’s major cities, in the acquisition from Westbank of a 90% ownership interest in 400 West Georgia Street in Vancouver, and an additional 45% ownership interest in 19 Duncan Street in Toronto (increasing Allied’s ownership interest to 95%). The transaction was based on an aggregate property value of $920.7 million.

Represented Allied Properties Real Estate Investment Trust, a leading operator of distinctive urban workspace in Canada’s major cities, in the sale of its network-dense urban datacentre portfolio to Japanese telecommunications provider KDDI Corporation for $1.35 billion.

Represented Allied Properties Real Estate Investment Trust, a leading operator of distinctive urban workspace in Canada’s major cities and network-dense urban data centres in Toronto, in its acquisition of six urban office properties from Choice Properties Real Estate Investment Trust for $794 million.

Acted as principal counsel to the landlord in connection with the negotiation of a long-term credit lease agreement with Wal-Mart Canada Corp. for the construction and leasing of a 550,000 sq. ft. state-of-the-art distribution centre in Vaughan, Ontario, and the issuance of $210 million aggregate principal amount of 3.340% Series A First Mortgage Bonds, the proceeds of which will be used to, among other things, finance the facility's construction costs.

Advised a senior secured lender under a $650 million construction loan facility in connection with the real estate aspects of a security review opinion and the resulting receivership and sale process relating to a high-rise residential condominium project in Toronto.

Lead counsel to the purchaser of a 90-property portfolio of CIBC banking centre locations across Canada as part of a sale/leaseback transaction and related acquisition financing.

Lead counsel to the borrower in connection with a $200 million first-ranking acquisition credit facility with respect to the purchase of 2 Bloor Street West and Cumberland Terrace, Toronto.

Lead counsel to the developer in connection with construction loan facilities for several major downtown Toronto condominium sites.

Co-counsel to a consortium that acquired 17 shopping centre properties from Primaris REIT as part of a larger $4.5 billion dollar transaction.

Lead counsel to the vendor of a portfolio of 14 industrial and mixed-use properties in the GTA with a total leasable area of approximately 1.2 million square feet for a purchase price of approximately $100 million.

Represented the owner/developer in the negotiation of a lease for an approximately 1 million square-foot shipping and receiving facility and related $84 million construction loan facility.

Co-counsel to the joint venture in connection with the acquisition of ING Summit Industrial Fund LP (including indirect interests in 400+ industrial property portfolio) for an aggregate purchase price of approximately $2 billion.

Represented Ontario Teachers' Pension Plan Board in the creation of a $300 million Mezzanine Mortgage Fund targeted at the retirement home and long-term care sectors.
