Kanika’s broad corporate experience allows her to provide practical advice on a wide range of financing and lending matters. She collaborates with clients to develop practical solutions to complex legal matters and to facilitate transactions across the finish line.

Kanika is a member of the firm’s Financial Services Group. Her practice focuses on a wide range of transactional matters, with expertise in financing transactions involving real property security and other real estate elements. Kanika regularly advises lenders in bi-lateral and syndicated financing transactions, including asset-based lending, project and acquisition financing and secured lending matters. She also works with borrowers in various industries on corporate and commercial lending transactions, such as cross-border and subordinated debt/mezzanine financings and is skilled at negotiating and drafting commercial contacts.

Representative Matters

Represented the Province of Ontario on all aspects of its transaction, including advice on real estate matters and the proposed $670-million loan, to facilitate Vianode’s first North American synthetic graphite facility, a cornerstone project in Canada’s electric vehicle supply chain.

Advised The Toronto-Dominion Bank and CIBC on the structuring and execution of a credit arrangement in relation to AirBoss of America Corp.’s US$180-million senior secured credit facilities.

Represented Allied Properties Real Estate Investment Trust, a leading owner-operator of distinctive urban workspace in Canada’s major cities, in the acquisition from Westbank of a 90% ownership interest in 400 West Georgia Street in Vancouver, and an additional 45% ownership interest in 19 Duncan Street in Toronto (increasing Allied’s ownership interest to 95%). The transaction was based on an aggregate property value of $920.7 million.

Acted as Canadian counsel to Kuehne+Nagel with respect to its acquisition of Farrow, a Canadian customs brokerage, transportation and logistics business.

Acts on a regular basis for Canadian Schedule I banks, asset-based lenders and borrowers with respect to their secured lending facilities.

Represents various lenders in connection with the construction financing and term loans provided to long-term care facilities and retirement homes located in Ontario.
