William A. Chalmers

Bill is a skilled advocate dedicated to finding solutions to difficult problems. Experienced in all forms of dispute resolution, he is tenacious in his pursuit of his clients’ objectives.

Bill is a member of the firm’s Litigation Group. His practice is focused on general civil litigation with an emphasis on the resolution of disputes involving corporate, commercial, real estate, franchise and municipal law issues through litigation, arbitration, mediation and other forms of alternative dispute resolution.

Bill represents individuals, public companies, private corporations, partnerships and municipal corporations. Bill appears as counsel on motions, applications and trials on the Commercial List and in the Superior Court of Justice, and as counsel on motions for leave to appeal and appeals in the Divisional Court and before the Court of Appeal.

Provided litigation advice to Integrated Grain Processors Co-operative Inc., an Ontario co-operative with more than 840 members, and its newly incorporated wholly-owned subsidiary IGPC Ethanol Inc., regarding an action in connection with the financing necessary to design, develop, build and operate a 150 million litre ethanol production facility in Aylmer, Ontario.

Represented two public companies in an oppression remedy action brought against them by an individual for $50 million in damages and declaratory and mandatory orders under the Business Corporations Act in connection with the acquisition of the shares of a public company [Clearly Canadian Corporation ats. Ralph Moyal].

Represented a public company in an action brought against it by a corporation for $20 million in damages for slander of title and for an interim and permanent injunction to restrain power of sale proceedings in connection with the default of a loan for the purchase of commercial real estate [Rno-Dpt Inc. ats. 1427814 Ontario Limited].

Represented a public company in an action against two corporations for $5.5 million in damages for breach of contract, intentional interference with economic relations, inducing breach of contract and conspiracy in connection with publishing contract [AlarmForce Industries Inc. v. Canada Wide Magazines & Communications Ltd.].

Represented a public company in an action brought against it by a corporation in connection with a commercial contract [AlarmForce Industries Inc. ats. Jim Pattison Industries Ltd.].

Represented a public company in an action against a corporation and two individuals for $400,000 in damages for breach of contract, deceit, conspiracy and intentional interference with economic relations in connection with a commercial contract [Advantex Dining Corporation v. 1234168 Ontario Inc.].

Represented a public company in an action brought against it by a corporation for damages for breach of contract in connection with a franchise agreement [AlarmForce Industries Inc. ats. 922230 Ontario Limited].

Represented a professional association in an action brought against it by a former employee in connection with an employment relationship [Association of Professional Engineers of Ontario ats. Debra Dileo].

Represented a corporation in an action against two individuals and a corporation for $6.5 million in damages for breach of contract, breach of obligation of confidence, intentional interference with economic relations, inducing breach of contract and breach of fiduciary duty in connection with breaches of a non-competition agreement and a purchase and sale agreement involving a trucking company [Celadon Canada Inc. v. Richard Gerth].

Represented a public company in an action brought against it by a corporation in connection with a franchise agreement [AlarmForce Industries Inc. ats. TCG Solutions Inc.].

Represented a real estate investment trust in an action against a limited partnership, a corporation and a law firm for declaratory relief and $500,000 in damages for breach of contract in connection with commercial real estate [Morguard REIT v. Hazeldean Limited Partnership].

Represented an individual and a corporate shareholder in an action against other shareholders for $4.5 million in damages arising out of oppressive conduct, intentional interference with economic relations and breach of an unanimous shareholders agreement in connection with a private, closely held corporation [Angelucci v. Zanchin].

Represented three individuals and a Canadian chartered bank in an action against a corporation for $1.4 million in damages for breach of contract in connection with a share purchase transaction [Leo J. Dion v. Capital Environmental Resource Inc.].

Represented two corporations in an action brought against them by a corporation in connection with the termination of a commercial lease arrangement [Morguard Investments Limited ats. 928757 Ontario Limited].
