The cannabis industry has experienced significant volatility in the past year, with well-publicized issues dominating business news headlines within and outside of Canada. The recent change in market tone has cooled go-public and financing activity, and the corresponding scarcity of capital has weakened balance sheets. As the industry adjusts to valuations based on fundamentals (e.g. revenue and EBITDA), opportunities are emerging. There is a continued trend in strategic acquisitions and investments, and an expected uptick in opportunities to acquire distressed assets. 

There are legal and regulatory nuances that industry participants need to navigate in cannabis industry M&A transactions, including tax, structuring, due diligence, licences and third-party approvals.
